1. Acceptance of Terms
By accessing or using the ConsultiQ platform ("the Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service. These terms constitute a legally binding agreement between you and ConsultiQ under Australian law.
2. Eligibility
You must be at least 18 years of age and capable of entering into legally binding contracts under Australian law to use this Service. By using ConsultiQ, you represent and warrant that you meet these eligibility requirements.
3. Account Registration & Authentication
Access to ConsultiQ requires authentication via Google or Microsoft SSO. You are responsible for maintaining the security of your account and for all activity that occurs under your account.
You agree that your account information is accurate and current. You must notify us promptly if you become aware of any unauthorised access to your account.
Each user may maintain only one account. We reserve the right to suspend or terminate accounts that violate these terms.
4. Permitted Use
ConsultiQ is provided for legitimate business consulting purposes. You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Service by any third party.
You must not:
- Use the Service to store, process, or transmit illegal content
- Attempt to gain unauthorised access to the Service or its systems
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use automated tools to access the Service in a manner that exceeds reasonable usage
- Share your account credentials or allow unauthorised third-party access
- Use the Service to harm, defraud, or mislead others
5. Intellectual Property
The ConsultiQ platform, including its design, code, branding, and content, is owned by ConsultiQ and protected by Australian copyright, trademark, and intellectual property laws.
Your Content: You retain all ownership of the data you enter into ConsultiQ (client information, projects, invoices, notes). By using the Service, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service to you.
6. Data Ownership & Privacy
Your business data belongs to you. We process it solely to provide the Service. Our Privacy Policy explains in detail how we collect, use, and protect your personal information in compliance with the Australian Privacy Principles.
You may request export or deletion of your data at any time by contacting us at [email protected].
7. Service Availability & Maintenance
We aim for high availability but do not guarantee uninterrupted or error-free service. We may perform scheduled maintenance with reasonable notice. Service interruptions may occur due to:
- Scheduled or emergency maintenance
- Network or infrastructure failures beyond our control
- Force majeure events (natural disasters, government action, etc.)
8. Limitation of Liability
To the maximum extent permitted by Australian law, including the Competition and Consumer Act 2010 (Cth), ConsultiQ and its operators shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business opportunities, or goodwill
- Damages arising from your use of, or inability to use, the Service
- Actions or decisions you take based on information stored in the Service
Nothing in these terms excludes or limits liability for death or personal injury, fraud, or any liability that cannot be excluded or limited under Australian consumer law.
9. Indemnification
You agree to indemnify and hold harmless ConsultiQ and its operators from any claims, damages, losses, or expenses (including legal fees) arising out of your breach of these terms or your violation of any rights of any third party.
10. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your right to access and use the Service ceases immediately
- We will delete your data within 30 days, subject to legal retention obligations
- Provisions regarding intellectual property, limitation of liability, and indemnification survive termination
We may terminate or suspend your account immediately, without notice, for conduct we believe violates these terms or is harmful to other users, us, or third parties.
11. Changes to These Terms
We may modify these terms at any time. Material changes will be communicated via email or a prominent notice on the platform. Your continued use of ConsultiQ after changes are posted constitutes acceptance of the revised terms.
12. Governing Law & Dispute Resolution
These terms are governed by the laws of Australia and the applicable state or territory. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Australia.
Before commencing any legal proceedings, you agree to attempt to resolve the dispute through good-faith negotiation. We encourage the use of alternative dispute resolution mechanisms, including mediation, where appropriate.
13. Entire Agreement
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and ConsultiQ regarding your use of the Service and supersede any prior agreements relating to its subject matter.
